By accessing or using our Site or Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Site or Services.
By using our Site or engaging our Services, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms. If you are accessing or using the Services on behalf of a business, you represent that you have the authority to bind that business to these Terms.
Forza Payments provides ATM placement, merchant services, cash loading, equipment maintenance, and related payment processing services. Specific terms for each service will be outlined in separate service agreements or onboarding documentation.

By providing your mobile phone number and signing our service agreement, you consent to receive text messages (SMS and MMS) from Forza Payments regarding:
Message frequency varies depending on your account activity and service needs. You may receive up to 10 messages per month.
Standard message and data rates may apply based on your mobile carrier's plan. Please check with your carrier for details.
Our SMS program is available on all major U.S. carriers including AT&T, Verizon, T-Mobile, Sprint, and others. Check with your carrier for compatibility.
You may opt out of receiving SMS messages at any time by:

Fees for our Services are outlined in your individual service agreement. You agree to pay all fees and charges in accordance with the payment terms specified in your agreement.
Late payments may be subject to interest charges and/or suspension or termination of Services as outlined in your service agreement.
You are responsible for all applicable federal, state, and local taxes related to your use of the Services, except for taxes based on our net income.
All content on the Site, including but not limited to text, graphics, logos, images, software, and other materials, is the property of Forza Payments or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not use, reproduce, distribute, or create derivative works from any content without our express written permission.

If we provide ATM equipment as part of our Services, the equipment remains our property unless otherwise specified in your service agreement. You are responsible for maintaining the equipment in good working condition and reporting any issues promptly.
Our Services may integrate with or rely on third-party service providers (e.g., payment processors, network providers). We are not responsible for the performance, availability, or policies of third-party services.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
IN NO EVENT SHALL FORZA PAYMENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE OR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
You agree to indemnify, defend, and hold harmless Forza Payments, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:
We may suspend or terminate your access to the Site or Services at any time, with or without cause, with or without notice, including but not limited to if you breach these Terms.
You may terminate your use of the Services by providing written notice in accordance with your service agreement.
Upon termination, your right to use the Site and Services will immediately cease. Any provisions of these Terms that by their nature should survive termination will survive, including but not limited to limitations of liability, indemnification, and dispute resolution provisions.
These Terms are governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site or Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in King County, Washington.
You agree that any arbitration or proceeding shall be limited to the dispute between you and Forza Payments individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Notwithstanding the arbitration requirement, either party may seek equitable relief in court to protect intellectual property rights or confidential information.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Site with a new "Last Updated" date. Your continued use of the Site or Services after changes are posted constitutes your acceptance of the revised Terms.
These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and Forza Payments regarding the Site and Services.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or governmental actions.
